Komercinės sutartys: samprata, jų priskyrimo komercinėms sutartims kriterijai ir teisinės pasekmės
Abstract
The present paper introduces the scope and the main criteria of commercial transactions. Transactions are the actions of persons intended to create, modify or extinguish civil rights and duties. A contract is an agreement of two or more persons to establish, modify or extinguish legal relationships by which one or several persons obligate themselves to one or several other persons to perform certain actions. Contracts can be civil and commercial. The concept of contract can be described according two criteria objective and subjective. According to objective criteria commercial contract is a contract with commercial content and commercial aim. Civil Code and another law of the Republic of Lithuania establish legal regulations of commercial contracts formation. The purpose of the Law on the Prevention of Late Payment in Commercial Transactions is to regulate interest on late payments for the goods sold, services provided and works carried out as well as to establish the rights of creditors in case of late payment. The present paper presents some exceptions on this Law.
